Udemy Private Event Speaker Terms

These Udemy Private Event Speaker Terms (“Terms”) were last updated on January 14, 2022.

By signing up or participating as a speaker at a Udemy-hosted private event with limited and free registration (“Udemy Private Event”), you confirm that you’ve read, understand, and agree to these Terms. If you’re speaking at a Udemy event other than a Udemy Private Event, please consult with your Udemy representative to determine the terms that apply to you. 

  1. Services; Event. You agree to speak at the Udemy Private Event, at the date and time, on the topic, and subject to the participation requirements as agreed by you and Udemy (the “Event”). You acknowledge and agree that you aren’t entitled to any payment or other consideration for speaking at the Event. Udemy may modify or cancel the Event at any time, and isn’t responsible for any damages, direct or indirect, resulting from such cancellation.
  2. Code of Conduct. You represent and warrant that your speech at the Event, or any associated materials you provide to Udemy, will not violate the intellectual property rights of any party, and will not defame, slander, or libel any person. You agree to not take any action that would be reasonably expected to harm Udemy, its reputation, or brand, or that would be reasonably expected to lead to unwanted or unfavorable publicity to Udemy or its reputation or brand. You agree to behave in such a way as to create a safe, supportive learning environment while at the Event and any related events. You acknowledge and agree that you’re providing the services under these Terms as an independent contractor, and not as an employee or agent of Udemy.
  3. License to Use Speaker Property. You grant Udemy and its affiliates a perpetual, royalty-free, worldwide, full-paid, non-exclusive license to use the audio and video recordings of your speech at the Event, any associated materials (including your presentation deck), and your name, image, voice, and likeness (collectively, “Speaker Property”), to reproduce, distribute, create derivative works and recordings, and transmit an audio and/or visual depiction (including live streaming) of the Event for the limited purpose of displaying and otherwise making the Event available to registrants. Additionally, you agree that Udemy and its affiliates may use information about you and your company in connection with their promotion of the Event, including your name, picture, job title, company name, and with your prior consent, your company logo. You understand that Udemy and its affiliates aren’t obligated to use the Speaker Property or to exercise any rights under these Terms.
  4. Information About You. Your contact details and other personal information will be handled in accordance with the information handling practices described in the Privacy Policy. You consent to the collection, use, and disclosure of the information you provide in connection with the Event by Udemy and its affiliates in accordance with that Privacy Policy.
  5. Miscellaneous Legal Terms.
  1. Binding Agreement. You agree that by speaking at the Event, you’re agreeing to enter into a legally binding contract with Udemy. If you’re accepting these Terms on behalf of a company, organization, government, or other legal entity, you represent and warrant that you are authorized to do so.

    These Terms are the entire agreement between us for the Event and supersede all prior proposals and agreements about your participation as a speaker at the Event. If any part of these Terms are found to be invalid or unenforceable by applicable law, then that provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of these Terms will continue in effect.

  2. Release of Claims. To the extent permissible by applicable law, you (for yourself, your heirs, personal representatives, assigns, and anyone else who might make a claim on your behalf) hereby release Udemy and its affiliates, and their respective directors, officers, employees, contractors, representatives, agents, successors and assigns, from any and all claims, demands, causes of action, suits, damages, losses, debts, liabilities, costs and expenses (including without limitation reasonable attorneys’ fees and costs) that you may have now or in the future associated in any way with the Event or the Speaker Property.

  3. Limitation of Liability. IN NO EVENT WILL (a) UDEMY AND ITS AFFILIATES BE LIABLE FOR ANY LOSS OF DATA, LOSS OF PROFITS, LOSS OF OPPORTUNITY, COST OF COVER, OR OTHER SPECIAL, INCIDENTAL, CONSEQUENTIAL, INDIRECT, PUNITIVE, EXEMPLARY, OR RELIANCE DAMAGES; OR (b) THE AGGREGATE LIABILITY OF UDEMY AND ITS AFFILIATES FOR ALL OTHER DAMAGES IN CONNECTION WITH THE EVENT EXCEED $100 USD.

  4. Governing Law and Jurisdiction. All matters arising out of or relating to these Terms shall be governed by and construed in accordance with the laws of the State of California without giving effect to any choice or conflict of law provision or rule (whether of the State of California or any other jurisdiction). Any claim or cause of action arising under these Terms may be brought only in the federal and state courts located in the State of California, and you hereby irrevocably consent to the exclusive jurisdiction of such courts.

  5. Updating These Terms. From time to time, we may update these Terms to clarify our practices or to reflect new or different practices (such as when we add new features), and Udemy reserves the right in its sole discretion to modify and/or make changes to these Terms at any time. Modifications will become effective immediately upon posting unless stated otherwise.
